Terms of Service

1. This agreement

These terms govern your use of ListdPro, provided by STRATAGEN GLOBAL TECH FZE LLC, a free zone company registered in Ajman, United Arab Emirates. By creating an account or using the service you accept these terms. If you are accepting on behalf of a brokerage, you confirm you are authorised to bind it, and “you” means that brokerage.

2. What ListdPro is

ListdPro is a customer relationship management tool for real estate brokers: it creates listings from voice or text, writes listing copy in English and Arabic, publishes to property portals you connect, and manages leads, deals, documents, and commissions.

ListdPro is not a brokerage, not a property portal, and not a party to any property transaction. We do not introduce buyers to sellers, hold client money, or provide legal, valuation, tax, or regulatory advice.

3. Who may use it

You must be at least 18 years old, and you must be acting for a licensed real estate brokerage in the UAE. Where the emirate you operate in requires it, you must hold a valid broker registration (RERA / BRN) card. Keeping that registration current is your responsibility, not ours.

4. Your account

• Accounts are personal to one individual. Do not share credentials.
• Sign-in uses a one-time code sent to your phone. You are responsible for activity under your account and for keeping access to that phone number.
• Tell us within 24 hours at support@listdpro.com if you suspect your account has been compromised.

5. Plans, fees, and VAT

Subscriptions are priced per user, per month, billed monthly in advance in UAE dirhams (AED) through our payment provider, and renew automatically each month until cancelled. Larger teams pay a lower rate per user.

Your monthly charge is the plan rate multiplied by the number of user accounts active on your agency at the start of the billing period. Adding a user mid-period is charged from the next period.

The rates that apply to you are the ones shown on the pricing page and in your account at the time you subscribe. Where a figure in these terms and the figure shown at checkout differ, the checkout figure is the price you pay. Prices exclude UAE VAT, which is added at the prevailing rate where applicable.

We may change prices with at least 30 days’ notice. A price change never applies to a period you have already paid for, and you may cancel before it takes effect.

6. Free trial

New brokerages get a 7-day free trial, with no card required. The trial does not convert automatically — you subscribe only by choosing to. One trial per brokerage.

7. Cancellation and refunds

• You may cancel at any time from your account settings or by emailing us.
• Cancellation takes effect at the end of the period you have already paid for. You keep full access until then.
• We do not refund part-months. Cancelling mid-cycle does not produce a pro-rata refund.
• We do refund duplicate or mistaken charges, reported within 14 days, and we refund where we have failed to provide the service or where UAE consumer protection law requires it.

8. Acceptable use

You must not use ListdPro to:

• Publish fake, duplicate, expired, or misleading listings, or advertise a property you are not authorised to market
• Upload photographs, floor plans, or descriptions copied from another party without the right to use them
• Send bulk unsolicited messages through the WhatsApp integration, or any communication that breaches UAE anti-spam rules or WhatsApp’s own policies
• Upload personal data about a client or lead that you have no lawful basis to process
• Scrape, reverse engineer, resell, or provide the service to anyone outside your brokerage
• Interfere with the service’s security or availability

9. Regulatory compliance is yours

You are solely responsible for the regulatory compliance of everything you publish. That includes holding valid brokerage and broker licences, obtaining a Trakheesi advertising permit and displaying the permit number on every advertisement, completing Form A, B, F, or I where required, and ensuring that price, size, permit number, and ownership details are accurate and current.

ListdPro runs automated compliance checks before publishing and will block a listing that fails them. These checks are an aid, not a guarantee. They do not cover every rule, they are not legal or regulatory advice, and a listing passing them is not evidence of compliance. We may suspend publishing for content that appears non-compliant.

10. AI-generated content

Listing descriptions, Arabic translations, voice transcriptions, lead scores, and document drafts are produced by automated language models. They can be inaccurate, incomplete, out of date, or non-compliant, and they can state things about a property that are simply wrong.

You must read and approve every AI-generated output before publishing it, sending it to a client, or relying on it. Nothing is published automatically. We give no warranty as to the accuracy, completeness, or regulatory compliance of AI output. Once you approve it, you are its author and publisher, and section 9 applies to it in full.

11. Your content and our platform

You keep all rights in your listings, photographs, documents, and client data. You grant us a limited, non-exclusive licence to host, store, process, and transmit that content as needed to run the service — including to the providers named in our Privacy Policy and to the portals you choose to publish to. The licence ends when the content is deleted.

We own the ListdPro platform, its software, prompts, models, designs, and trade marks, and any aggregated, de-identified statistics we derive from usage. Nothing here transfers any of that to you.

12. Portal publishing

When you publish a listing to Property Finder, Bayut, Dubizzle, Skyloov, or any other connected portal, you instruct us to transmit that content on your behalf and you confirm you are entitled to advertise the property. Each portal has its own terms and moderation rules and may reject, delay, edit, or remove a listing. We do not control that, and we do not guarantee that publishing produces leads, enquiries, or transactions of any kind.

13. Third-party services

ListdPro depends on services we do not control, including Meta’s WhatsApp Cloud API, Anthropic, OpenAI, our payment provider, our hosting provider, and the property portals. Outages, policy changes, price changes, or termination by any of them may degrade or interrupt features, and we are not liable for that.

14. Availability

We use commercially reasonable efforts to keep ListdPro available. We do not offer a uptime service level agreement. We may take the service down for maintenance, with advance notice where practicable.

15. Disclaimer of warranties

To the maximum extent UAE law permits, ListdPro is provided “as is” and “as available”, without warranty of any kind. We do not warrant that the service will be uninterrupted or error-free, that AI output will be accurate, that listings will be accepted by any portal, or that you will receive any leads or close any transaction.

16. Limitation of liability

We are not liable for indirect, incidental, special, or consequential loss, nor for lost profits, lost commission, lost leads, lost transactions, lost data, or reputational harm, however arising.

Our total aggregate liability to you is capped at the fees you paid us in the three months before the event giving rise to the claim.

Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything that cannot be limited under UAE law.

17. Indemnity

You will indemnify us against claims, losses, and costs arising from content you publish through ListdPro, from your breach of advertising or brokerage regulations, from your handling of client personal data, and from your breach of these terms.

18. Suspension and termination

You may terminate at any time by cancelling. We may suspend or terminate your account for non-payment, for breach of these terms, or for unlawful use — with notice where practicable, and immediately in serious cases such as fraud or a security threat.

19. Your data when the agreement ends

On written request to support@listdpro.com, made while your account is active or within 30 days of termination, we will provide a machine-readable export of your listings, leads, deals, and documents. We will provide it within 30 days of the request.

After that window we delete or irreversibly anonymise your data, subject to the retention periods in the Privacy Policy and to any legal hold.

20. Changes to these terms

We may update these terms. For material changes we will give at least 30 days’ notice by email or in the product. Continuing to use ListdPro after they take effect means you accept them; if you do not, cancel before that date.

21. Governing law and disputes

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction over any dispute, and we each agree to try in good faith to resolve it directly first.

22. General

• These terms and the Privacy Policy are the entire agreement between us on this subject.
• If any provision is unenforceable, the rest stands and that provision is read as narrowly as needed to make it valid.
• Not enforcing a right on one occasion does not waive it.
• You may not assign this agreement without our written consent. We may assign it to a successor in a merger or sale of the business.
• Notices to us go to legal@listdpro.com; notices to you go to the email address on your account.
